Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Muckard ("we," "us" or "our"), concerning your access to and use of the Muckard platform and automated cryptocurrency trading services.

By accessing or using our services, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using the platform and must discontinue use immediately.

Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from accessing our services under applicable laws
  • Comply with all applicable laws and regulations in your jurisdiction

User Accounts

Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

Account Security

You agree to:

  • Use a strong, unique password for your account
  • Enable two-factor authentication (2FA) when available
  • Not share your account credentials with anyone
  • Notify us immediately of any security breaches

Trading Services

API Integration

Our platform connects to your cryptocurrency exchange accounts via API keys. You grant us permission to execute trades on your behalf based on the strategies you select. API keys should be configured with trading permissions only - never withdrawal permissions.

Risk Acknowledgment

You acknowledge and agree that:

  • Cryptocurrency trading involves substantial risk of loss
  • Past performance does not guarantee future results
  • You should only trade with funds you can afford to lose
  • Market conditions can change rapidly and unpredictably

Your Capital, Your Control

Your funds remain in your exchange account at all times. We never have custody of your assets. You maintain full control and can disable trading or revoke API access at any time.

Fees and Payments

Use of our platform may be subject to fees, which will be clearly disclosed before you subscribe to any paid services. All fees are non-refundable except as required by law.

Subscription Terms

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel at any time through your account settings.

Prohibited Activities

You may not access or use the platform for any purpose other than that for which we make it available. Prohibited activities include:

Attempting to bypass security measures

Using the platform for illegal activities

Sharing account access with others

Reverse engineering our software

Market manipulation or fraudulent trading

Automated scraping or data mining

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MUCKARD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our liability to you for any damages arising from or related to this agreement will not exceed the amount you have paid us in the twelve (12) months prior to the action giving rise to liability.

No Financial, Investment, or Trading Advice

Muckard is NOT a Financial Advisor, Investment Advisor, or Broker-Dealer.

The information, tools, and services provided by Muckard are for informational and educational purposes only and do not constitute financial advice, investment advice, trading advice, or any other sort of advice. You should not treat any of Muckard's content, tools, or services as a substitute for professional financial advice.

No Fiduciary Relationship

No fiduciary relationship or advisory relationship is created between you and Muckard by your use of our platform, tools, or services. We do not act as your agent, fiduciary, or advisor, and we owe you no fiduciary duties. You acknowledge and agree that Muckard has no obligation to take your individual financial situation, investment objectives, or risk tolerance into consideration when providing our automated trading services.

You Acknowledge That:

  • All investment and trading decisions are made solely by you
  • You are solely responsible for determining whether any investment, strategy, or transaction is appropriate for you
  • You should consult with licensed financial advisors, tax professionals, and legal counsel before making any investment decisions
  • Muckard does not recommend or endorse any specific investment, security, cryptocurrency, or trading strategy
  • Any content or suggestions from our platform are general in nature and not tailored to your personal circumstances

You should conduct your own research and due diligence before making any trading or investment decisions. Cryptocurrency markets are highly volatile and speculative, and you could lose all of your invested capital.

Data Source and Accuracy Disclaimer

Muckard obtains market data, pricing information, news, and other content from various third-party sources including but not limited to cryptocurrency exchanges, data aggregators, APIs, and public information sources.

No Guarantee of Accuracy

While we strive to provide accurate and up-to-date information, we do not warrant or guarantee the accuracy, completeness, timeliness, reliability, or availability of any data, content, or information displayed on our platform.

Data Limitations:

  • Delays: Market data may be delayed and may not reflect real-time prices
  • Errors: Data may contain errors, omissions, or inaccuracies from source providers
  • Interruptions: Data feeds may be interrupted, discontinued, or become unavailable without notice
  • Historical Data: Past performance data does not guarantee future results
  • Third-Party Changes: Data providers may change formats, methodologies, or discontinue services

Disclaimer of Liability for Data Errors

Muckard shall not be liable for any losses, damages, or consequences resulting from your reliance on any data, content, or information provided through our platform. You acknowledge that you use all data and information at your own risk and should independently verify any critical information before making trading decisions.

Third-Party Services Disclaimer

Our platform integrates with and relies upon various third-party services, including but not limited to:

Cryptocurrency exchanges (Kraken, Coinbase, etc.)

Payment processor (Stripe)

Data providers and market data APIs

Authentication services (Google, Apple)

Cloud hosting and infrastructure providers

Analytics and monitoring tools

No Control Over Third Parties

Muckard does not control, endorse, or assume responsibility for any third-party services, websites, content, products, or services. We are not responsible for the availability, accuracy, security, or content of any third-party services.

Third-Party Risks:

  • Service Interruptions: Third-party services may experience downtime, outages, or technical issues
  • Changes or Discontinuation: Third parties may modify, suspend, or discontinue their services at any time
  • Security Breaches: Third-party services may experience security vulnerabilities or data breaches
  • Terms and Fees: Third parties may change their terms of service, pricing, or policies
  • API Limitations: Third-party APIs may have rate limits, restrictions, or access requirements

Separate Terms and Agreements

Your use of third-party services is governed by their respective terms of service, privacy policies, and other agreements. You are responsible for reviewing and complying with all third-party terms. Muckard is not a party to your agreements with third-party providers and has no liability for any issues arising from your use of third-party services.

Exchange Risk: When you connect cryptocurrency exchange accounts to our platform, your funds remain with the exchange and are subject to the exchange's custody, security practices, and terms of service. Muckard is not responsible for any losses resulting from exchange insolvency, hacks, fraud, or operational failures.

Disclaimer of Warranties

"AS IS" and "AS Available" Basis

YOUR USE OF THE MUCKARD PLATFORM AND SERVICES IS AT YOUR SOLE RISK. THE PLATFORM, SERVICES, CONTENT, AND ALL MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Muckard Expressly Disclaims All Warranties, Including But Not Limited To:

  • Merchantability: No warranty that the services will meet your requirements or be suitable for your purposes
  • Fitness for Particular Purpose: No warranty that the services will be appropriate for your specific use case
  • Non-Infringement: No warranty that the services do not infringe third-party rights
  • Accuracy: No warranty regarding the accuracy, reliability, or completeness of content or data
  • Availability: No warranty that the services will be uninterrupted, timely, secure, or error-free
  • Results: No warranty regarding the results, profits, or performance of trading activities
  • Quality: No warranty that defects will be corrected or that the services are free from viruses or harmful components

No Warranty Regarding:

  • Trading performance, profits, returns, or outcomes
  • Compatibility with your hardware, software, or systems
  • Security of your account, data, or API connections
  • Third-party services, exchanges, or data providers
  • Compliance with laws or regulations in your jurisdiction

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our warranties are limited to the maximum extent permitted by applicable law.

Intellectual Property Rights

All content, features, and functionality of the Muckard platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, algorithms, and the design, selection, and arrangement thereof, are the exclusive property of Muckard or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Muckard Trademarks

The Muckard name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Muckard or its affiliates. You may not use such marks without our prior written permission. Other names, logos, and brands are the property of their respective owners.

Limited License to Users

Subject to your compliance with these Terms, Muckard grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the platform for your personal, non-commercial use only. This license does not include any right to:

  • •Resell, redistribute, or commercialize the services
  • •Modify, copy, or create derivative works
  • •Reverse engineer, decompile, or disassemble any software
  • •Remove or alter any copyright, trademark, or proprietary notices

Prohibited Uses of Intellectual Property:

  • Using Muckard content for competing services or products
  • Scraping, mining, or extracting data from our platform
  • Creating similar trading bots or algorithms based on our proprietary technology
  • Using our trademarks or branding without authorization
  • Framing or mirroring any part of the platform

User Content

If you submit, post, or provide any content to Muckard (including feedback, suggestions, or ideas), you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for any purpose related to our services.

Copyright Infringement Claims

If you believe that any content on our platform infringes your copyright, please contact us at legal@muckard.com with detailed information about the alleged infringement, including the copyrighted work, the allegedly infringing content, and your contact information.

Governing Law and Dispute Resolution

Governing Law

These Terms of Service and any dispute arising out of or related to these Terms or your use of the Muckard platform shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or the platform shall be brought exclusively in the federal or state courts located in Wyoming, and you irrevocably consent to the personal jurisdiction and venue of such courts.

Arbitration Agreement

Except for disputes that qualify for small claims court, any controversy or claim arising out of or relating to these Terms or the platform shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association (AAA).

  • Arbitration shall take place in Wyoming
  • The arbitrator's decision shall be final and binding
  • Each party shall bear its own costs and fees
  • Judgment on the award may be entered in any court having jurisdiction

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Waiver of Jury Trial

YOU AND MUCKARD HEREBY WAIVE ANY RIGHT TO A JURY TRIAL WITH RESPECT TO ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM.

Indemnification

You agree to indemnify, defend, and hold harmless Muckard, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the platform or services
  • Your violation of these Terms of Service
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights, including intellectual property rights
  • Any trading losses, investment decisions, or financial consequences

Severability and Entire Agreement

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by Muckard on the platform, constitute the entire agreement between you and Muckard concerning your use of the platform and supersede all prior agreements and understandings.

No Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the platform after changes become effective constitutes acceptance of the revised terms.
